These Terms and Conditions, together with the Service Agreement, constitute a legally binding agreement between the Client identified in the Service Agreement ("Client") and Fine Tuned Solutions ("FT Solutions") concerning Client’s access to and use of the services and dashboards provided by FT Solutions via https://www.ft-solutions.ai ("the Site").

By accessing the Site or using FT Solutions’ services, the Client acknowledges to have read, understood and agreed to be bound by these Terms and Conditions.

1. Access to Services and Dashboards

FT Solutions grants Client a non-exclusive, non-transferable right to access and view dashboards during the agreed term, solely for internal business purposes. The dashboards show results generated by AI solutions; Clients may not operate or manage the AI automations themselves.

Passwords and access credentials will be provided by FT Solutions. Additional users can only be added upon written request and approval.

The Client is responsible for safeguarding all access credentials and must promptly report any unauthorized access.

2. Client Data and Ownership

Client retains ownership of all data uploaded or submitted. FT Solutions is granted a limited, royalty-free, worldwide license to use this data strictly to deliver services.

All knowledge that FT Solutions’ artificial intelligence creates or adapts from learning about the Client’s business and the Services provided shall remain the property of FT Solutions.

When using FT Solutions’ review automation, website forms, or chat systems, the Client is responsible for the legality and validity of the data submitted by its own end users.

3. Intellectual Property

FT Solutions retains all intellectual property rights related to its services, software, dashboards, content, and underlying models. Clients may not reproduce, distribute, modify, reverse-engineer or resell any part of the services without prior written consent.

This includes, but is not limited to, AI chat widgets, automated review flows, and web templates developed or provided by FT Solutions.

4. Client Responsibilities

Client represents and warrants that:

- Submitted information is accurate and current

- Services will not be used for illegal purposes

- No automated scraping, bots or scripts will be used to access dashboards

- Client will obtain lawful consent from end users before collecting or using their data via FT Solutions’ tools (e.g., review flows, web forms, chat systems)

- Client acknowledges that it is solely responsible for compliance with applicable marketing and communication laws when using FT Solutions’ services.

5. Confidentiality

All business-related and technical information shared between parties shall be treated as confidential for a period of 3 years, unless otherwise required by law. This includes service structures, data models, client insights, or other sensitive materials.

6. Privacy and Data Protection

FT Solutions processes personal data in line with GDPR and employs appropriate security safeguards.

FT Solutions will:

Use client data solely for service delivery

Not share, sell or transfer data to third parties, unless required by law

Act as a data processor when handling end-user data on behalf of the Client, including in chat interactions, website submissions, or review messaging

Provide a data processing agreement upon request

7. Termination

Services can be terminated by either party with written notice. Upon termination:

- The Client must pay for all scheduled items (appointments, leads, triggers) up to the effective termination date

- FT Solutions may suspend or revoke access in case of breach, misuse or non-payment

- Website hosting and chatbot access will be discontinued unless otherwise agreed in writing

8. Pricing and Payment

Prices are communicated in advance and exclusive of VAT unless stated otherwise

Payments must be made within 14 days of invoice

FT Solutions may suspend access upon late payment

Monthly services (e.g., chatbot hosting, automation flows) are billed in advance, unless otherwise agreed

9. Force Majeure

Neither party is liable for failures caused by force majeure, including power outages, government restrictions, or internet disruptions. If such a situation lasts more than 30 days, either party may terminate the agreement.

10. Limitation of Liability

FT Solutions shall not be liable for indirect damages such as loss of data, profit or goodwill. Total liability is limited to the amount paid by the Client to FT Solutions in the three

(3) months preceding the incident.

FT Solutions is not liable for review platform actions, search engine penalties, or customer behavior resulting from AI-generated responses.

11. Dispute Resolution and Jurisdiction

Parties will first attempt to resolve disputes through mutual consultation. If unresolved, the dispute will be submitted to the competent court in the Netherlands, located in the district of 's-Hertogenbosch.

12. Modifications

FT Solutions may revise these Terms and Conditions from time to time. Updated versions will be posted on the website. Continued use of services implies acceptance of changes.

13. Electronic Communication

By using the site or service, Client agrees to:

- Receive electronic communications

- Enter agreements via digital signature

- Accept electronic delivery of all documentation and notices
